A. INTRODUCTION

1. The Abloxx Rewards Service is a service provided to you by ABLOXX LTD (referred to as “we”, “us” or “Company” or “Abloxx”). The Abloxx Rewards Service (referred to as “Abloxx Rewards Service”) provides you with the option to subscribe your Digital Assets for a period of time and receive rewards, paid out in Abloxx Token.. By using these services, you authorize us to use the subscribed digital assets at our discretion, in accordance with these Abloxx Rewards Service Terms and Conditions. (referred to as “Abloxx Rewards Service Terms”).

2. By using our Abloxx Rewards Service, you acknowledge and agree that you will be bound by and will comply with these Abloxx Rewards Service Terms, as updated and amended from time to time. By accessing and/or using the Abloxx Rewards Service, you agree that you have read and understood these Abloxx Rewards Service Terms, together with any additional documents or terms referred to in these Abloxx Rewards Service Terms. If you do not understand and accept these Abloxx Rewards Service Terms in their entirety, you should not use the Abloxx Rewards Service.

3. The Abloxx Rewards Service does not involve the offering, trading, or provision of services in respect of financial instruments under MiFID II and your Abloxx Rewards Service Assets and Abloxx Rewards do not represent shares, bonds, derivatives, structured deposits, or other financial instruments regulated under MiFID II. Furthermore, Abloxx does not provide investment services or perform investment activities such as portfolio management, investment advice, execution of orders on behalf of clients, or dealing on own account.

4. The Abloxx Rewards Service does not constitute a collective investment undertaking or alternative investment fund within the meaning of AIFMD. Your Abloxx Rewards Service Assets will not be pooled or jointly managed with a view to investing according to a defined investment policy and Abloxx does not perform any collective portfolio management function, nor does it pay out rewards on the basis of any investment outcomes. Participation in the Abloxx Rewards Service does not entitle users to any collective rights, units, or shares in an underlying fund or vehicle.

5. In offering the Abloxx Rewards Service, Abloxx does not act as a crypto-asset service provider under MiCA. The Abloxx Rewards Service does not involve the custody, exchange, management or transfer of crypto-assets, as your Abloxx Rewards Service Assets are not safeguarded or invested on the basis of a specific investment strategy tailored for each user, nor are the Abloxx Rewards tied to a particular portfolio. By subscribing their Digital Assets, users have the opportunity to receive back Digital Assets of an equivalent value as the Abloxx Rewards Service Assets, plus the Abloxx Rewards, as opposed to the specific Digital Assets which they will form the Abloxx Rewards Service Assets.

6. The Abloxx Rewards Service involves risks which you should take into account. You should carefully read and consider the following before deciding to use the Abloxx Rewards Service:

(a) the prices of Digital Assets are highly volatile and may be influenced by factors such as global economic events, regulatory developments, cyberattacks, technological failures, or market manipulation. These changes may adversely affect the value of both Abloxx Rewards Service Assets and Abloxx Rewards.

(b) for the period that you use the Abloxx Rewards Service, your Digital Assets will be locked and inaccessible. In exceptional market circumstances (e.g., mass withdrawals or liquidity crunches), Abloxx may be unable to return your Abloxx Rewards Service Assets promptly or in full.

(c) your Abloxx Rewards Service Assets may be used by Abloxx or Teroxx Group Entities for operational purposes including, but not limited to, on-chain staking, lending to third parties, or other trading and transfer activities. Such counterparties may default, become insolvent, or act unlawfully, which might in turn affect the ability of Abloxx to meet its obligations under these Abloxx Rewards Service Terms, including payment of the Abloxx Rewards.

(d) the Abloxx Rewards Service relies on complex technologies, smart contracts, blockchain protocols, and custody systems (hot and cold wallets). These may fail due to bugs, software errors, exploits, protocol failures, or cyberattacks, which might in turn affect the ability of Abloxx to meet its obligations under these Abloxx Rewards Service Terms, including payment of the Abloxx Rewards.

(e) regulatory action or change in applicable laws may impact the legality, operation, or continuation of the Abloxx Rewards Service. Authorities may impose restrictions, reporting obligations, or other conditions that could disrupt your participation or adversely affect your Abloxx Rewards Service Assets.

(f) your Digital Assets will not be held in a segregated or custodian account in your name. In the event of insolvency or enforcement action against Abloxx or a Teroxx Group Entity, you may rank as an unsecured creditor and be unable to recover the value of your Abloxx Rewards Service Assets and any associated Abloxx Rewards.

(g) the Abloxx Rewards Service is not a regulated product under MiFID II, MiCA, or AIFMD. Abloxx is not licensed by any financial regulatory authority to provide investment services, crypto-asset services or collective investment management service. As a result, you do not benefit from the investor protections applicable to regulated financial services, including compensation schemes, conduct of business protections, or regulatory supervision.

7. Although Abloxx takes all reasonable precautions to minimise the applicable risks and to safeguard the return of Abloxx Rewards Service Assets to users in accordance with these Abloxx Rewards Service Terms, in extreme and exceptional circumstances, Abloxx may not have sufficient assets readily available to return Abloxx Rewards Service Assets to users in a timely manner or in full. By accepting these Abloxx Rewards Service Terms, you hereby unconditionally and irrevocably:

(a) confirm that you understand, accept and assume full responsibility for participating in the Abloxx Rewards Service, together with any and all associated risks, and

(b) explicitly consent to, and grant Teroxx Group Entities all necessary rights for, Teroxx Group Entities using your Abloxx Rewards Service Assets as described in these Abloxx Rewards Service Terms, and

(c) have carefully assessed whether, and determined that, Abloxx Rewards Service are appropriate for you.

8. In these Abloxx Rewards Service Terms, the following terms shall have the following meaning:

• “Teroxx Group Entities” means Abloxx and any entity that, directly or indirectly, controls, is controlled by, or is under common control with Abloxx, including its parent companies, subsidiaries, and other affiliated entities.
• “Abloxx Token” means the native utility token issued by Abloxx. More information about the Abloxx Token can be found on the Abloxx White Paper available on our website abloxx.com.
• “AIFMD” means the EU Directive 2011/61/EU, as amended from time to time.
• “Digital Assets” means any form of cryptographic token, digital currency, cryptographic currency, virtual currency, or other digital asset that does not qualify as a regulated product under applicable financial services laws and regulations, including, but not limited to, a financial instrument as defined under Directive 2014/65/EU (MiFID II), as amended or replaced from time to time, and any national laws or regulations transposing or implementing such directive
• “Force Majeure Event” has the meaning given to it in section L.
• “Abloxx Rewards Auto-Subscribe” has the meaning given in the text of these Abloxx Rewards Service Terms.
• “Abloxx Rewards Service Assets” means the Digital Assets that you will transfer to Abloxx as part of the Abloxx Rewards Service.
• “Abloxx Rewards” means the Abloxx Token that you will earn, as consideration for providing your Abloxx Rewards Service Assets.
• “Abloxx Rewards Rate” means the percentage rate at which you will earn Abloxx Rewards.
• “Abloxx Rewards Distribution Frequency” means the time or frequency at which Abloxx Rewards in will be distributed to the account that you have designated for this purpose.
• “Abloxx Rewards Service Term” means the pre-determined period for which your Abloxx Rewards Service Assets will not be accessible, following which you will be entitled to receive your Abloxx Rewards.
• “MiFID II” means the EU Directive 2024/65/EU, as amended from time to time.
• “MiCA” means the EU Regulation 2023/1114, as amended from time to time.

B. SCOPE OF SERVICES

9. These terms specifically govern your access to and use of the Abloxx Rewards Service and any ancillary service made available by Abloxx in accordance with these Abloxx Rewards Service Terms.

C. DISCLOSURE AND CONSENT

10. By subscribing your Digital Assets for a period of time, you can receive rewards, paid out in Abloxx Token. Such rewards are not guaranteed or fixed, and the rates and timing of the rewards may vary.

11. The Abloxx Rewards Service Assets will not be segregated from the Digital Assets of others. Your Abloxx Rewards Service Assets may be commingled in hot wallets and cold wallets with Digital Assets belonging to Teroxx Group Entities and clients of Teroxx Group Entities globally. You will not have a right to recover any specific Abloxx Rewards Service Assets but will be able to receive Digital Assets of a greater value than the Abloxx Rewards Service Assets.

12. The Abloxx Rewards Service Assets may, at Abloxx’s sole discretion and without prior notice, be used for operating purposes by Teroxx Group Entities including, but not limited to, loans to other clients of Abloxx and/or other Teroxx Group Entities, in on-chain staking activities, may be traded and/or transferred and may generally be dealt with, in any way that Abloxx considers appropriate.

13. No Teroxx Group Entity makes any representation or warranty that Abloxx Rewards Service is appropriate:

(a) for any user or in any location, or

(b) that the transactions and services described in these Abloxx Rewards Service Terms are (or will continue to be) available or appropriate for any user or in any location. You are strongly encouraged to carefully review these Abloxx Rewards Service Terms and seek independent professional advice as to whether Abloxx Rewards Services are appropriate for you having regard to your personal circumstances and objectives, financial position and risk tolerance.

D. HOW TO PARTICIPATE IN ABLOXX REWARDS

14. When you provide Digital Assets to Abloxx to use the Abloxx Rewards Service, you will be prompted to agree to and confirm some or all of the following terms:

(a) the type of Digital Assets that you will transfer to Abloxx;

(b)the amount of the designated Digital Assets that you will transfer;

(c) the Abloxx Rewards Rate applicable at the time you transfer your Digital Assets to Abloxx;

(d) the lock-up period for which the Digital Assets will be locked with Abloxx.

15. Abloxx reserves the right, at any time and from time to time in its sole discretion and without prior notice, to:

(a) reject or remove any Digital Asset or Abloxx Rewards Service Assets from the program;

(b) specify a minimum or maximum amount of Abloxx Rewards Service Assets that are required to use the Abloxx Rewards Service;

(c) mandatorily return all or some Abloxx Rewards Service Assets of any user.

E. REWARDS

16. Abloxx Rewards Service Assets cannot be redeemed until the end of the relevant Abloxx Rewards Service Term. Abloxx Rewards:

(a) start accruing at the Abloxx Rewards Rate from the day after you transfer your Abloxx Rewards Service Assets. Abloxx Rewards will accrue on a daily basis and will be calculated pro rata based on a 365-day calendar year. No Abloxx Rewards will accrue or be paid in respect of the day on which you transfer the Abloxx Rewards Service Assets;

(b) are distributed in Abloxx Token, as may be made available to users from time to time;

(c) are calculated on a daily basis, based on the Abloxx Rewards Service Assets, excluding all Abloxx Rewards, meaning, Abloxx Rewards shall not be compounding;

(d) will be calculated by reference to the Abloxx Rewards Rate applicable on the day that the Abloxx Rewards accrue;

(e) will be distributed to the account designated for the purpose, at the pre-determined Abloxx Rewards Distribution Frequency;

(f) are rounded down to a number of decimal places determined by Abloxx in its sole discretion.

17. The Abloxx Rewards Rate may vary from time to time as determined by Abloxx in its sole discretion. Any variation to the Abloxx Rewards Rate will apply from the time and date specified by Abloxx, in the absence of which a variation will take effect at 00:00 UTC on the day on which Abloxx announces the variation to the Abloxx Rewards Rate.

18 PAYMENT OF ABLOXX REWARDS

19. After the end of the Abloxx Rewards Service Term, Abloxx will return the Abloxx Rewards Service Assets Assets in the same value, plus the Abloxx Rewards, to your account designated for this purpose, no later than 5 business days after the end of the Abloxx Rewards Service Term, unless you have elected to participate in Abloxx Rewards Auto-Subscribe (as defined below). In exceptional cases, such returns may be delayed, including for example in cases of extreme market volatility, network outages and delays, validator or protocol failures, in case of a significant number of simultaneous instructions from other Abloxx users, or other unanticipated events.

20. Abloxx may, in its sole discretion from time to time, permit you to elect to end your participation in the Abloxx Rewards Service, whether in relation to all or part of your Abloxx Rewards Service Assets. In such a case, you:

(a) acknowledge and agree that you will forfeit all Abloxx Rewards that have accrued and been distributed to you in respect of the Abloxx Rewards Service Assets;

(b) hereby authorise Abloxx to deduct, from the Abloxx Rewards Service Assets that are to be returned pursuant to this paragraph, an amount equal to any and all such Abloxx Rewards that have been distributed in respect of the Abloxx Rewards Service Assets concerned.

F. ABLOXX REWARDS AUTO-SUBSCRIBE

21. Abloxx may permit you to automatically transfer your Abloxx Rewards Service Assets and any Abloxx Rewards Services Rewards (or any part thereof) at the end of the Abloxx Rewards Service Term back to Abloxx, or permit Abloxx to retain such Abloxx Rewards Services Assets and Abloxx Rewards Services Rewards (or any part thereof) (“Abloxx Rewards Auto-Subscribe”), without requiring any further action from you.

22. If you elect to subscribe for the Abloxx Rewards Auto-Subscribe:

(a) your Abloxx Rewards Service Assets and Abloxx Rewards (or any part thereof, as the case may be) will be locked for a new Abloxx Rewards Service Term, commencing on the calendar day immediately following the date of the Abloxx Rewards Auto-Subscribe, without any further action on your part;

(b) your Abloxx Rewards Service Assets will begin to accrue Abloxx Rewards from and including the first day of the new Abloxx Rewards Service Term;

(c) the Abloxx Rewards Service Term may be different from that which applied prior to the Abloxx Rewards Auto-Subscribe;

(d) the Abloxx Rewards Rate for the new Abloxx Rewards Service Term may be different from the Abloxx Rewards Rate that applied in the preceding Abloxx Rewards Service Term.

23. Abloxx reserves the right to decline to act or to cease acting on your instructions to Abloxx Rewards Auto-Subscribe, at any time in its sole discretion and without prior notice. Abloxx may refuse to act or cease acting on Abloxx Rewards Auto-Subscribe instructions at its sole discretion.

G. CHANGES TO ABLOXX REWARDS

The Abloxx Rewards Rate may fluctuate from time to time, including during an ongoing Abloxx Rewards Service Term. Abloxx does not in any way represent or guarantee that the Abloxx Rewards Rate applicable at the time you transfer the Abloxx Rewards Service Assets or anytime thereafter will remain constant, whether during the Abloxx Rewards Service Term or otherwise. The applicable Abloxx Rewards Rate may fluctuate up or down from time to time. You hereby acknowledge and agree that any representation, whether express or implied, regarding the possible rewards associated with the Abloxx Rewards Service:

(a) is an estimate based on observations of available on-chain reward rates, general market rates, as well as special rates during promotion periods and is subject to significant risks and uncertainties;

(b) is not guaranteed in any way by any Teroxx Group Entity or indicative of future performance or rewards;

(c) is calculated based on the Abloxx Rewards Rate, which may change from time to time in Abloxx’s sole discretion;

(d) is not in any way a form of advice, solicitation or offering for Abloxx Rewards Service and should not be interpreted as such.

25. Changes to the Abloxx Rewards Rate will be published by Abloxx from time to time on its website. YOU MUST REFER TO THE ABLOXX WEBSITE REGULARLY.

26. NO TEROXX GROUP ENTITY WILL HAVE ANY LIABILITY WHATSOEVER FOR ANY LOSSES ARISING FROM, OR CONNECTED WITH, CHANGES TO THE ABLOXX REWARDS RATE, WHETHER OR NOT YOU WERE AWARE OF THOSE CHANGES.

H. FORCED SUSPENSION OF SERVICES

27. Abloxx reserves the right, in its sole discretion and without prior notice or liability, to suspend the provision of the Abloxx Rewards Service to you under any of the following circumstances:

(a) where Abloxx has reasonable grounds to suspect that your account is being used for unlawful, fraudulent, or malicious purposes, including but not limited to money laundering, terrorist financing, or market manipulation;

(b) where such return or transfer is required for Abloxx or any Teroxx Group Entity to comply with applicable laws, regulations, court orders, or directives issued by any competent governmental or regulatory authority, including enforcement or tax authorities;

(c) where, in Abloxx’s opinion, your continued participation in the Abloxx Rewards Service poses a legal, security, or reputational risk to Abloxx, any Teroxx Group Entity, or other users

(d) where necessary to protect the functionality, integrity, or operation of the Abloxx Rewards Service, including but not limited to cases of excessive withdrawal requests, system congestion, or force majeure events (as defined below)

(e) upon the termination or suspension of your access to the Abloxx Rewards Service, whether initiated by you or by Abloxx.

28. In the event of such a suspension, Abloxx may, in its discretion, return any eligible Digital Assets to your designated wallet, or retain such assets until the underlying cause is resolved. You acknowledge and agree that:

(a) no Abloxx Rewards shall accrue while a suspension exists on your account and/or your Abloxx Rewards Service;

(b) you shall have no claim against Abloxx or any Teroxx Group Entity for any loss of earnings, opportunity, or value as a result of such suspension; and

(c) Abloxx shall not be required to re-admit any assets into the Abloxx Rewards Service or to apply any previously applicable terms following a forced suspension.

29. TERMINATION

• Right to Terminate. You may terminate your participation in the Abloxx Rewards Service at any time by providing written notice to Abloxx. Abloxx may terminate your participation in the Abloxx Rewards Service at any time for any reason, including but not limited to, a breach of these Abloxx Rewards Service Terms, or if required by applicable law or regulatory directive, by providing you with reasonable notice.
• Effect of Termination. Upon termination of your participation in the Abloxx Rewards Service:
  (a) You shall not be entitled to any accrued Abloxx Rewards and we will contact you to arrange for the closure of your account with us.

30. Subject to the provision of the termination notice as above, Abloxx shall, within a reasonable timeframe, return Digital Assets of equivalent value to your Abloxx Rewards Service Assets to your designated wallet. For the avoidance of doubt, this obligation to return Digital Assets of equivalent value does not extend to the Abloxx Token (the native utility token).

31. You acknowledge that the return of Digital Assets of equivalent value is subject to the risks outlined in these terms, including potential delays due to market volatility, network issues, or other unforeseen events.

32. Any Digital Assets held by Abloxx that are not Abloxx Rewards Service Assets (and are not Abloxx Tokens) will be returned to your designated wallet in accordance with the general terms and conditions governing your overall account with Abloxx.

33. The provisions on Limitation of Liability, General, Force Majeure Events, Notices, Governing Law and Jurisdiction shall survive the termination of these Abloxx Rewards Service Terms.

I. LIMITATION OF LIABILITY

34. Disclaimer of Warranties. The Abloxx Rewards Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, statutory, or otherwise. Abloxx and its affiliates, subsidiaries, officers, directors, employees, and agents (collectively, the “Teroxx Group Entities”) make no representations or warranties regarding the availability, timeliness, security, accuracy, or uninterrupted operation of the Abloxx Rewards Service. To the fullest extent permitted by applicable law, Abloxx expressly disclaims any warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

35. Exclusion of Certain Damages. To the maximum extent permitted by applicable law, in no event shall any Teroxx Group Entity be liable for any of the following, whether arising in contract, tort (including negligence), strict liability, or otherwise, and even if advised of the possibility of such damages:


(a) indirect, incidental, special, punitive, exemplary, or consequential damages of any kind;


(b) loss of profits, loss of revenue, loss of goodwill, loss of opportunity, loss of data, or business interruption;


(c) damages arising from fluctuations in Digital Asset prices or changes to the Abloxx Rewards Service or its governing terms;


(d) damages or losses caused by acts, omissions, or systems of third parties, including but not limited to validators, custodians, smart contracts, network providers, or any other actors beyond Abloxx’s reasonable control.

36. Limitation of Aggregate Liability. Without prejudice to the foregoing limitations, the aggregate liability of all Teroxx Group Entities to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the fiat-equivalent value of your Abloxx Rewards Service Assets (excluding any Abloxx Rewards as these may have accrued) that remain under Abloxx’s custody as of the date of the event giving rise to the claim.

J. GENERAL

37. These Abloxx Rewards Service Terms, together with any documents expressly incorporated by reference herein, constitute the entire agreement and understanding between you and Abloxx relating to the Abloxx Rewards Service and supersede all prior agreements, arrangements, and understandings, whether written or oral.

38. If any provision of these Abloxx Rewards Service Terms is held to be unlawful, void, or for any reason unenforceable under any applicable law, that provision shall be deemed severable from these Abloxx Rewards Service Terms and shall not affect the validity and enforceability of the remaining provisions.

39. Any failure or delay by Abloxx or any Teroxx Group Entity to exercise or enforce any right or provision of these Abloxx Rewards Service Terms shall not constitute a waiver of such right or provision.

40. You may not assign or transfer your rights or obligations under these Abloxx Rewards Service Terms without the prior written consent of Abloxx. Abloxx may assign or transfer any of its rights or obligations, in whole or in part, to another Teroxx Group Entity, provided that it has given notice of such assignment or transfer to you.

41. These Terms do not confer any rights on any person or party other than the parties to these Terms and their permitted successors and assigns.

K. FORCE MAJEURE EVENTS

42. Abloxx shall not be liable for any delay, failure, or interruption in the performance of its obligations under these Abloxx Rewards Service Terms, or for any losses you may suffer, due to a Force Majeure Event.

43. A Force Majeure Event includes any event which it outside the reasonable control of Abloxx and includes, without limitation:

(a) acts of God, natural disasters, fire, flood, earthquake, or storm;

(b) war, terrorism, riot, or civil unrest;

(c) labor disputes, strikes, pandemics or work stoppages;

(d) acts or omissions of any governmental authority or changes in applicable law or regulation;

(e) failure or interruption of telecommunications, internet, network, or power supply systems;

(f) cyberattacks, security breaches, software bugs, protocol failures, smart contract exploits, or blockchain forks;

(g) validator downtime, failure of DeFi protocols or staking mechanisms, or market-wide liquidity crises.

44. During a Force Majeure Event, Abloxx will use reasonable efforts to restore the availability of the Abloxx Rewards Service and to minimize any disruption. However, you acknowledge and agree that such events may result in the temporary suspension or modification of some or all Abloxx Rewards Service features, including the suspension of Abloxx Rewards accumulation.

L. NOTICES

45. All notices or communications required or permitted under these Abloxx Rewards Service Terms shall be in writing and shall be delivered by hand, pre-paid first-class post or other delivery service or via electronic mail or other electronic form, at the physical address or email address designated by each party for this purpose.

46. Abloxx may in particular deliver notices, provide updates to these Abloxx Rewards Service Terms, update any legal disclosures and offer other essential information on the Abloxx Rewards Service by one or more of the following means:

(a) Posting the notice on the Abloxx website or user interface;

(b) Sending the notice to the email address registered to your Abloxx account;

(c) Pushing in-app or dashboard notifications to your Abloxx account.

47. You are solely responsible for ensuring that your contact information associated with the Abloxx Rewards Service are current and accurate at all times. Neither Abloxx nor any Teroxx Group Entity shall be responsible for any delay or failure in your receipt of a notice if caused by your failure to maintain accurate contact information.

M. GOVERNING LAW AND JURISDICTION

48. These Abloxx Rewards Service Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation shall be governed by and construed in accordance with the laws of the Republic of Cyprus.

49. Each party irrevocably agrees that the courts of the Republic of Cyprus shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with these Abloxx Rewards Service Terms or their subject matter or formation.
